These Terms & Conditions (the “Terms”) govern the access and use of the technical services and API integration infrastructure provided by Blue Innovatrix Tech (blueinnovatrixtech.online) to the subscribing business entity (“Partner” or “you”). By utilizing our services, the Partner agrees to comply with and be bound by these Terms.
1. Description of Services
Blue Innovatrix Tech provides specialized B2B technical services, including access to our API integration provider platform, data flow management utilities, and associated system enablement infrastructure (collectively, the “Services”). The specific features, service commitments, and operational parameters are fully detailed in the separate Service Agreement executed with the Partner.
2. Partner Responsibilities
2.1 Technical and Operational Adherence
The Partner is responsible for maintaining all necessary internal systems, protocols, and security measures required to successfully interface with and utilize the Services. The Partner agrees to strictly follow all technical specifications and usage guidelines provided by Blue Innovatrix Tech.
2.2 Lawful Service Utilization
The Partner warrants that all use of the Services shall be in strict compliance with all applicable local, national, and international laws and regulations, particularly those relevant to data handling and system operations within Pakistan.
2.3 Access Security
The Partner must safeguard all technical access credentials, including API keys and interface logins, and accepts full responsibility for all actions and transactions initiated using those credentials.
3. Intellectual Property and Licensing
3.1 Limited Access Grant
Subject to these Terms and the executed Service Agreement, Blue Innovatrix Tech grants the Partner a limited, non-transferable, non-exclusive right to access and use the Services solely for the Partner’s approved internal business purposes.
3.2 Ownership of Technology (IP)
All intellectual property rights, including ownership of the Services, underlying software architecture, technical documentation, and methodology, are and shall remain the exclusive property of Blue Innovatrix Tech. These Terms grant no ownership rights to the Partner.
4. Platform Operation and Changes
4.1 Service Level Guarantee
Blue Innovatrix Tech commits to delivering the Services at the operational levels and availability targets specified in the governing Service Agreement.
4.2 Modifications
Blue Innovatrix Tech reserves the right to make non-material changes to the Services at any time. We will provide reasonable advance notice (typically 30 days) to the Partner regarding any planned material changes to the API integration specifications or core functionality.
5. Termination
5.1 Grounds for Termination
Blue Innovatrix Tech may immediately suspend or terminate the Partner’s access if the Partner materially breaches these Terms, fails to comply with critical operational requirements, or if legally required by regulatory bodies in Pakistan or other relevant jurisdictions.
5.2 Post-Termination Obligations
Upon termination, the Partner’s authorization to use the Services ceases instantly. The Partner must immediately stop all use of the Services and destroy or delete all copies of technical credentials and documentation related to the Services.
6. Partner Indemnification
The Partner agrees to indemnify, defend, and hold harmless Blue Innovatrix Tech, its affiliates, and personnel from any and all claims, damages, liabilities, and expenses (including legal fees) arising from the Partner’s breach of these Terms or any unauthorized or unlawful use of the Services.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BLUE INNOVATRIX TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING LOSS OF DATA, SYSTEM INTERRUPTION, OR BUSINESS LOSS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES. IN ALL CASES, BLUE INNOVATRIX TECH’S TOTAL AGGREGATE LIABILITY SHALL BE LIMITED TO THE TOTAL SERVICE FEES PAID BY THE PARTNER IN THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE CLAIM.
8. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of Pakistan. The parties agree that any legal action or proceeding arising out of these Terms will be conducted exclusively in the courts located in Islamabad, Pakistan.
